1. Eligibility & Acceptance

A. Age Requirements

• You must be at least 13 years old to use Pathlete Services.
• Users ages 13–17 may only use the Services with the consent of a parent or legal guardian.
• Users under 13 are not permitted to register or use the Services.

By using the Services, you represent that you meet these eligibility requirements.

B. Parent or Guardian Consent

If you are a parent or legal guardian providing consent for a minor, you agree to be bound by these Terms on behalf of the minor and are responsible for the minor's use of the Services.

2. Description of Services

Pathlete provides:

• Athlete waitlist and registration services
• Live showcase events
• Performance evaluation and scoring
• Digital athlete profiles and content
• Educational resources and communications
• Opt-in visibility to coaches and scouts

Pathlete does not guarantee recruitment, scholarships, team placement, advancement, or professional opportunities.

3. No Agency or Representation Relationship

Pathlete:

• Is not a sports agency
• Does not represent athletes in negotiations
• Does not act on behalf of athletes with teams, leagues, or institutions
• Does not guarantee exposure, offers, or recruitment outcomes

All decisions regarding recruitment, advancement, or selection are made solely by third parties such as coaches, clubs, or institutions.

4. User Accounts & Responsibilities

A. Account Information

You agree to provide accurate, current, and complete information when registering and to update your information as needed.

You are responsible for:

• Maintaining the confidentiality of login credentials
• All activity under your account

B. Prohibited Conduct

You agree not to:

• Provide false or misleading information
• Impersonate another person or entity
• Upload content you do not have rights to use
• Interfere with the operation or security of the Services
• Use the Services for unlawful, abusive, or harmful purposes
• Attempt to reverse engineer or exploit Pathlete systems

Pathlete reserves the right to suspend or terminate accounts for violations.

5. Athlete Evaluations & Content

A. Evaluations Are Informational

All evaluations, scores, rankings, and feedback:

• Are informational only
• Reflect performance at a specific point in time
• Do not constitute professional, medical, or career advice

Athletic performance may vary and is influenced by many factors beyond Pathlete's control.

B. Media & Content Rights

By participating in Pathlete events or using the Services, you grant Pathlete a non-exclusive, royalty-free, worldwide license to use photos, videos, and content for:

• Platform operation
• Marketing and promotion
• Educational materials

You may request removal of content by contacting support, subject to legal and operational limitations.

6. Payments, Fees & Refunds

A. Fees

Certain Services may require payment, including showcase registrations and premium offerings. Fees will be clearly disclosed before purchase.

B. Refund Policy

Refunds, if any, are governed by the specific terms disclosed at the time of purchase. Event-related fees may be non-refundable due to operational commitments.

7. Third-Party Services & Links

Pathlete may integrate or link to third-party services, including evaluation partners and external websites.

Pathlete is not responsible for:

• Third-party content or services
• Decisions made by coaches, scouts, or institutions
• External privacy or data practices

Use of third-party services is at your own risk.

8. Intellectual Property

All Pathlete content, trademarks, logos, software, and materials are owned by or licensed to Pathlete and protected by intellectual property laws.

You may not copy, modify, distribute, or exploit Pathlete materials without written permission.

9. Disclaimers

The Services are provided "as is" and "as available."

Pathlete disclaims all warranties, express or implied, including:

• Fitness for a particular purpose
• Accuracy or completeness of evaluations
• Availability or uninterrupted access

Pathlete does not warrant that use of the Services will result in recruitment or advancement.

10. Limitation of Liability

To the maximum extent permitted by law, Pathlete is not liable for:

• Indirect, incidental, or consequential damages
• Loss of opportunities, revenue, or reputation
• Decisions made by third parties
• Injuries or outcomes related to athletic participation

Total liability, if any, shall not exceed the amount paid to Pathlete in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Pathlete, its officers, employees, and partners from claims arising out of:

• Your use of the Services
• Your violation of these Terms
• Your content or conduct

12. Termination

Pathlete may suspend or terminate access at any time for:

• Violations of these Terms
• Legal or security reasons
• Operational necessity

You may stop using the Services at any time.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

Any disputes shall be resolved exclusively in state or federal courts located in Florida, unless otherwise required by law.

14. Changes to These Terms

Pathlete may update these Terms from time to time. Material changes will be posted on our website. Continued use of the Services constitutes acceptance of the updated Terms.
